Agreement between Clients and NOVA Agency

1. Introduction

Welcome to NOVA (Next Gen Online Virtual Assistants). These Terms and Conditions (“Terms”) govern all services provided by NOVA, including virtual assistance, business consulting, administrative support, marketing, and other professional services (“Services”). By engaging our Services, you (“Client”) agree to be bound by these Terms.


2. Scope of Services

NOVA provides professional remote services ,including but not limited to:

• Virtual administrative support

• Customer service management

• Social media and marketing assistance

• Project coordination

• Business consulting and strategic support

• Specialized tasks as agreed upon in writing

Each project or ongoing service is defined in a separate Service Agreement, Proposal, or Scope of Work (SOW) approved by both parties.


3. Payment Terms

The payment method specified herein may include options such as Upwork payments, PayPal, bank transfer, or any other legally recognized payment service mutually agreed upon at the time of executing this agreement.

Payments are billed according to the schedule of the agreement and or Service platform included in the agreement.


4. Confidentiality

Both parties agree to maintain the confidentiality of all sensitive and proprietary information exchanged during the working relationship. NOVA will not share, disclose, or sell Client information to any third party without prior written consent, except as required by law.


5. Client Responsibilities

To ensure efficient service delivery, the Client agrees to:

• Provide clear instructions, necessary access credentials, and relevant materials.

• Respond to communications within reasonable timeframes.

• Ensure all information shared is accurate and lawful.

• Refrain from requesting illegal, unethical, or unsafe tasks.


6. Independent Contractor Relationship

NOVA and its team members operate as independent contractors, not employees of the Client. Nothing in this Agreement shall create a partnership, joint venture, or employer-employee relationship between NOVA and the Client.


7. Intellectual Property

Any materials, templates, or systems created by NOVA remain the intellectual property of NOVA unless otherwise stated in writing.

Work products (such as completed tasks, designs, or documents) specifically created for the Client become the Client’s property upon full payment.


8. Revisions and Scope Changes

Requests outside the original agreed-upon scope may require a new quote or add-on agreement.
Minor adjustments are welcome, but significant revisions or new projects will be billed separately.


9. Cancellation and Termination

Either party may terminate services with a 7-day written notice (unless a longer notice is defined in a specific agreement).

Work completed up to the termination date will be invoiced and must be paid in full.

Retainers or prepaid packages are non-refundable once work has started.


10. Refund Policy

Due to the time-based nature of our services, no refunds will be issued for completed work or partially used service hours.
Refunds may be considered only in cases of proven non-performance or technical error, at NOVA’s sole discretion.


11. Limitation of Liability

NOVA shall not be held liable for any indirect, incidental, or consequential damages resulting from the use of our Services.
Our total liability under any circumstance shall not exceed the total amount paid by the Client for the Services rendered within the previous 30 days.


12. Communication

Official communication between the Client and NOVA shall occur via email, project management tools, or messaging platforms agreed upon in the Service Agreement.


13. Non-Solicitation

The Client agrees not to directly hire, contract, or solicit NOVA’s team members independently for a period of 12 months following the termination of any project or contract, unless otherwise agreed in writing.


14. Updates to Terms

NOVA reserves the right to update these Terms at any time. Updated versions will be posted on our website or provided directly to ongoing clients. Continued use of our Services indicates acceptance of any updates.


15. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of he State of Florida, USA.
